Axiom - AI Agents for Educators

Axiom AI is a product of Learnful Labs Inc. ("we," "us," "our"), based in Waterloo, Ontario, Canada. These Terms of Use explain the agreement between you and us when you access or use Axiom AI and related services (the "Service"). We built Axiom on a simple principle: you own what you create, and we're clear about what you're licensing when you use our platform. Individual users are granted a license to access the Service for their own use. Institutions that deploy Axiom — on-premises or through our cloud — do so under a separate institutional agreement, which governs their deployment and takes precedence over these Terms where the two conflict. Content you upload or create using Axiom remains yours; using the Service does not transfer ownership of your content to us, and nothing in these Terms transfers ownership of the underlying Axiom platform to you.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service. These Terms form a legally binding agreement between you ("you," "your," "User") and Learnful.

Institutional Agreements: Where an institution has entered into a separate written agreement with us governing its use of the Service - including an institutional license, deployment, or data processing agreement ("Institutional Agreement") - that Institutional Agreement governs the institution's use of the Service and takes precedence over these Terms to the extent of any conflict. These Terms continue to apply to individual users acting within an institutional deployment (e.g., instructors and students) except where the Institutional Agreement expressly states otherwise.

2. Overview of the Service

Axiom is an AI tutor building platform that allows registered members to:

Create Spaces (learning environments).
Upload files and documents to be used by the AI assistant in a Space.
Manage Space settings (access, prompts, descriptions, and functionality).
Invite students or collaborators.
Enable students to create chat threads within Spaces.

AI-powered features include:

Processing files and content uploaded into a Space.
Extracting text, layout, and structure from uploaded documents.
Summarizing and evaluating uploaded documents.
Generating titles for threads and AI-powered responses.
Generating vector embeddings of Space content to support search and retrieval.
Summarizing conversations for instructors.

Third-party services we use:

Microsoft Azure AI Foundry: for chat completion, summarization, content and data processing, and generating vector embeddings. Models are hosted by Microsoft within our Azure resources and are governed by Microsoft's online services terms.
Microsoft Azure AI Document Intelligence: for extracting text, layout, and structure from documents you upload to a Space.
Microsoft Entra ID (Azure AD), Google, and GitHub: for optional single sign-on, where you choose to sign in with one of those accounts.
Resend: for email delivery (e.g., account emails).
Google Analytics: for usage analytics.
DigitalOcean and AWS: for application hosting, storage, and supporting infrastructure.

3. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use Axiom. If you are under the age of majority in your jurisdiction, you may only use Axiom with the consent of a parent, guardian, or authorized educational institution.

4. Accounts

You are responsible for keeping your login credentials secure.
You are responsible for all activity under your account.
We may suspend or terminate accounts that violate these Terms.

5. User Content

"User Content" means files, documents, text, data, or other materials you upload or create within Axiom.

You retain ownership of all User Content.
By uploading, you grant Axiom a limited license to host, process, and display User Content solely for operating the Service.
Instructors and Space admins may view all threads within their Space.

You must not upload:

Content that infringes others' rights.
Malicious code, viruses, or abusive material.
Personal or confidential data you are not authorized to share.

6. Use of AI

Our Service integrates with third-party AI providers. For individual and Cloud accounts, AI processing — including chat completion, summarization, document text and layout extraction, and vector embeddings — is performed by Microsoft through Azure AI Foundry and Azure AI Document Intelligence, running in our Azure resources. By using Axiom, you acknowledge that:

AI outputs may be inaccurate, incomplete, or biased.
You are responsible for evaluating AI outputs before relying on them.
AI responses are generated automatically and are not human advice.
AI-generated outputs may incorporate or resemble third-party copyrighted material present in uploaded content or in the underlying AI model. You are responsible for reviewing outputs for potential third-party rights issues before relying on, distributing, or publishing them.

Bring-Your-Own-Key and Self-Hosted Models (Institutional Deployments Only). For institutional deployments, we may support configuring the Service to use a third-party AI provider's API key or a self-hosted model supplied by the institution. Where this applies, the institution is responsible for its own relationship with that provider, including their terms of use, pricing, and data handling practices. In this configuration, Axiom's role is limited to operating the Service's interface with the model the institution has configured; we are not a party to the institution's agreement with that provider. This does not apply to individual/Cloud accounts, which use the AI providers listed in Section 2.

7. Acceptable Use

You agree to use Axiom only for lawful, educational, and respectful purposes.

You agree not to:

Breach the privacy of individuals, including uploading personal information without consent.
Infringe on the intellectual property rights of others, including copyright or trademarks.
Impersonate another person, misrepresent your identity, or attempt to access accounts without authorization.
Reverse engineer, decompile, or attempt to extract source code, prompts, or underlying AI models.
Generate or attempt to generate harmful, abusive, fraudulent, discriminatory, or otherwise unlawful content.
Upload files or code that contain viruses, malware, or other harmful components.
Disable, disrupt, or attempt to interfere with the security or operation of the Service, including automated scraping or overloading of the system.
Use automated tools, bots, AI browsers, or scripts to access or interact with the Service.
Resell, sublicense, or commercially exploit the Service without our prior written permission.
Defame, harass, or abuse instructors, students, or other users of the Service.
Upload or share content that is obscene, threatening, pornographic, racist, or otherwise objectionable.
Use Axiom or its outputs to cheat, plagiarize, or otherwise violate academic-integrity policies of your institution (for example, submitting AI-generated work as your own or using the Service to complete assessments without authorization).
Use Axiom to train, fine-tune, evaluate, benchmark, or otherwise develop competing or derivative AI systems or models, whether directly or indirectly.

8. Educational Use Disclaimer

Axiom is intended as a teaching and learning support tool. It is not a substitute for professional teaching, grading, or academic judgment.

Instructors and institutions remain solely responsible for the accuracy and appropriateness of materials shared through the platform.
Students should not rely solely on AI-generated outputs for learning, assignments, or assessments.
Axiom does not guarantee compliance with academic integrity requirements at your institution.

8a. Changes to Features

The Service is under active development. We may add, modify, or improve features at any time. Where we discontinue a feature you rely on, we will provide reasonable advance notice where practicable. Features are provided as described in the Service at the time of use; we do not guarantee that any specific feature will remain available indefinitely.

9. Data Storage and Retention

Data Location. By default, Axiom stores service data in our selected hosting region(s) as described in our Privacy Policy. If your organization is on an on-premises or private-cloud deployment, storage occurs within that environment under your control.
Retention. Uploaded files, chat threads, and related metadata are retained while your account or Space is active.
Deletion. If you delete a Space or account, associated content will be queued for deletion within 90 days (except where retention is required by law, dispute resolution, or backups).
Backups. Deleted data may persist in encrypted backups for up to 30 days after deletion before being overwritten in the ordinary course.
Derived Data. Summaries, embeddings, and analytics derived from content may be retained in aggregated or de-identified form.
Export. Where supported by your plan or Institutional Agreement, you may export certain Service data (e.g., conversation threads) in a standard format. Availability of specific export features may vary by plan.

Recommended Policy for Institutions:

Instructors and admins are responsible for determining when to delete Spaces or remove data in line with their institutional data retention and privacy policies.

10. Use of Data for Service Improvement

We may analyze usage metadata (such as timestamps, interaction counts, feature usage, and aggregated usage patterns) in order to:

Improve and maintain the performance, quality, and reliability of Axiom.
Understand user needs, preferences, and trends to guide product development.
Detect abuse, troubleshoot issues, and enhance security.

We do not use the content of your conversations, prompts, or uploaded materials for these purposes.

Ownership: You retain ownership of your uploaded content and conversation data.

Limits: We will not use your content to train third-party AI models, and our AI providers do not use content submitted through the Service to train or improve their models. We will not disclose identifiable information to outside parties, except as required by law or described in our Privacy Policy.

Anonymization: Where usage metadata is used for analysis, it is aggregated so it cannot reasonably be linked back to an individual user.

Institutional Deployments. For institutions with a separate institutional agreement, the use, access, and analysis of Service data is governed by that agreement. Where an institutional deployment is self-hosted (on-premises), Axiom does not access, retain, or analyze the institution's data except as expressly permitted under that agreement.

11. Content Moderation and Removal

While we are not obligated to monitor all User Content, we reserve the right, at our discretion, to:

Remove, restrict, or disable access to any content that violates these Terms, applicable law, or the rights of others.
Suspend or terminate accounts engaged in repeated or serious violations.

Where commercially reasonable, we will provide notice of removal or suspension; however, we may act without notice if required by law or if harm is likely. We may cooperate with law enforcement or regulators where legally required.

11a. Copyright Complaints

If you believe content hosted or uploaded on Axiom (including files, uploaded materials, or user-created content) infringes your copyright, please send a written notice to support@learnful.io including: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the material you claim is infringing and its location on the Service; (3) your contact information; (4) a statement that you have a good-faith belief the use is not authorized; and (5) a statement, made under penalty of perjury, that the notice is accurate and you are authorized to act on behalf of the copyright owner.

We will review valid notices and may remove or disable access to the identified content. We may also notify the user who uploaded the content and give them an opportunity to respond, consistent with applicable law.

This process applies to content hosted or uploaded on the Service. It does not apply to AI-generated outputs, which are addressed in Section 6 (Use of AI).

12. Third-Party Services

We use third-party providers (e.g., Microsoft Azure, Resend, Google, DigitalOcean). While we take steps to protect your data, we are not responsible for their services. Please review their terms separately:

Changes to Sub-Processors. We may add, remove, or change the third-party providers we use to operate the Service. Where required under an applicable Institutional Agreement, we will provide notice of material changes to sub-processors in accordance with the terms of that agreement.

13. Intellectual Property; Feedback

We and our licensors own all right, title, and interest in and to the Service, including the underlying software, models, interfaces, designs, and documentation (“Axiom Materials”). Use of the Service — whether as an individual user or under an institutional license — is a license to use the Axiom Materials, not a transfer of ownership. Except for the rights expressly granted to you under these Terms (or, where applicable, a separate institutional agreement), no rights in the Axiom Materials are transferred to you.

You grant us a worldwide, royalty-free, irrevocable license to use, reproduce, and incorporate into the Service any suggestions, enhancement requests, or other feedback you provide, without obligation to you.

14. Privacy and Compliance

Users are responsible for ensuring that their use of Axiom complies with applicable privacy and data protection obligations in their jurisdiction (e.g., FERPA in the United States, GDPR in the European Union, PIPEDA in Canada).

You must not upload personal information about students, staff, or others unless you have the legal right and consent to do so.
By using Axiom in an educational setting, you represent that you have the necessary permissions from your institution or governing body.

15. Payments and Subscriptions

Fees
If you subscribe to a paid plan, you agree to pay all applicable fees as described on our pricing page.
Billing
Fees are billed in advance on a subscription basis (monthly or annually, as chosen). You authorize us (or our third-party payment processor) to charge your payment method.
Refunds
Fees are non-refundable except where required by law. We may, at our discretion, offer credits or partial refunds in exceptional cases.
Failure to Pay
If payment cannot be processed, we may suspend or terminate your access to the paid features until payment is received.
Pricing Changes
We may modify fees and plan features on a prospective basis. Changes will be posted to our pricing page and, for active subscribers, notified in advance.
Taxes
Fees are exclusive of taxes. You are responsible for any applicable sales, use, VAT, GST/HST, or similar taxes, excluding taxes based on our net income.

16. Termination

We may suspend or terminate your access if you violate these Terms, misuse the Service, or for security reasons. You may close your account at any time; data will be handled per Section 9.

17. Liability & Warranty

Axiom is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we make no warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

Warranties of merchantability, fitness for a particular purpose, or non-infringement.
That the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
That AI-generated outputs will be accurate, reliable, or suitable for any purpose.

You are solely responsible for verifying the accuracy and appropriateness of any information provided by the Service before relying on it. Do not rely on Axiom as a substitute for professional teaching, grading, or other academic judgment.

To the fullest extent permitted by law, we, our officers, directors, employees, and agents shall not be liable for any damages of any kind, including but not limited to:

Direct, indirect, incidental, consequential, special, exemplary, or punitive damages.
Loss of profits, revenue, goodwill, data, or business opportunities.
Educational, assessment, or instructional outcomes resulting from use of the Service.

This limitation applies even if we have been advised of the possibility of such damages and regardless of the legal theory under which such damages are sought.

18. Security and Responsible Disclosure

We implement commercially reasonable technical and organizational measures to protect user data. However, no system is completely secure. If you discover a security vulnerability, please notify us immediately at support@learnful.io. You agree not to exploit, disclose, or publicize any vulnerability.

18a. Accessibility and Compliance Readiness

We are committed to accessibility and are working toward WCAG 2.0 Level AA conformance. We are also in the process of completing a HECVAT (Higher Education Community Vendor Assessment Tool) and a VPAT (Voluntary Product Accessibility Template).

19. Research and Institutional Use

From time to time, Axiom may collaborate with educational institutions to evaluate or improve teaching and learning outcomes. Such research will use de-identified or aggregated data unless explicit consent is obtained. Participation in any research activity is voluntary and will comply with applicable research ethics and privacy standards.

20. Force Majeure

We are not liable for delay or failure to perform due to events beyond our reasonable control, including acts of God, internet failures, labor disputes, power outages, government actions, or other force majeure events.

21. Assignment and Severability

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.

22. Export Controls and Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or person subject to applicable export-control or economic-sanction laws. You agree not to use the Service in violation of such laws.

23. Indemnification

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) User Content you upload or submit; (c) your violation of any law or the rights of a third party; or (d) your negligence or willful misconduct.

24. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or within the Service. Continued use of the Service after changes means acceptance.

25. Governing Law

These Terms are governed by the laws of Ontario, Canada. Disputes will be resolved in Ontario courts.

26. Survival of Provisions

Upon termination of your account or these Terms, the following sections will continue to apply:

5 (User Content), 6 (Use of AI), 7 (Acceptable Use), 9 (Data Storage and Retention), 10 (Use of Data for Service Improvement), 14 (Privacy and Compliance), 17 (Liability & Warranty), 18 (Security and Responsible Disclosure), 19 (Research and Institutional Use), 23 (Indemnification), 25 (Governing Law), and 26 (Survival of Provisions).
