Applies to: Axiom AI ("Axiom," "we," "us," "our"), available at axiomai.ca and axiomai.cloud
1. Acceptance of Terms
By creating an account, accessing, or using Axiom AI, you agree to these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service.
These Terms form a legally binding agreement between you ("you," "your," "User") and Learnful Labs Inc., the provider of Axiom AI.
2. Overview of the Service
Axiom AI is an AI tutor building platform that allows registered members to:
- Create Spaces (learning environments).
- Upload files and documents to be used by the AI assistant in a Space.
- Manage Space settings (access, prompts, descriptions, and functionality).
- Invite students or collaborators.
- Enable students to create chat threads within Spaces.
AI-powered features include:
- Processing files and content uploaded into a Space.
- Summarizing and evaluating uploaded documents.
- Generating titles for threads and AI-powered responses.
- Summarizing conversations for instructors.
Third-party services we use:
- OpenAI APIs: for content and data processing and chat completion.
- Resend: for email delivery (e.g., account emails).
- Google Analytics: for usage analytics.
3. Eligibility
You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use Axiom AI. If you are under the age of majority in your jurisdiction, you may only use Axiom AI with the consent of a parent, guardian, or authorized educational institution.
4. Accounts
- You are responsible for keeping your login credentials secure.
- You are responsible for all activity under your account.
- We may suspend or terminate accounts that violate these Terms.
5. User Content
"User Content" means files, documents, text, data, or other materials you upload or create within Axiom AI.
- You retain ownership of all User Content.
- By uploading, you grant Axiom AI a limited license to host, process, and display User Content solely for operating the Service.
- Instructors and Space admins may view all threads within their Space.
You must not upload:
- Content that infringes others' rights.
- Malicious code, viruses, or abusive material.
- Personal or confidential data you are not authorized to share.
6. Use of AI
Our Service integrates with third-party AI providers (e.g., OpenAI). By using Axiom AI, you acknowledge that:
- AI outputs may be inaccurate, incomplete, or biased.
- You are responsible for evaluating AI outputs before relying on them.
- AI responses are generated automatically and are not human advice.
7. Acceptable Use
You agree to use Axiom AI only for lawful, educational, and respectful purposes. You agree not to:
- Breach the privacy of individuals, including uploading personal information without consent.
- Infringe on the intellectual property rights of others, including copyright or trademarks.
- Impersonate another person, misrepresent your identity, or attempt to access accounts without authorization.
- Reverse engineer, decompile, or attempt to extract source code, prompts, or underlying AI models.
- Generate or attempt to generate harmful, abusive, fraudulent, discriminatory, or otherwise unlawful content.
- Upload files or code that contain viruses, malware, or other harmful components.
- Disable, disrupt, or attempt to interfere with the security or operation of the Service, including automated scraping or overloading of the system.
- Use automated tools, bots, or scripts to access or interact with the Service in ways that could degrade performance or compromise security.
- Resell, sublicense, or commercially exploit the Service without our prior written permission.
- Defame, harass, or abuse instructors, students, or other users of the Service.
- Upload or share content that is obscene, threatening, pornographic, racist, or otherwise objectionable.
8. Educational Use Disclaimer
Axiom AI is intended as a teaching and learning support tool. It is not a substitute for professional teaching, grading, or academic judgment.
- Instructors and institutions remain solely responsible for the accuracy and appropriateness of materials shared through the platform.
- Students should not rely solely on AI-generated outputs for learning, assignments, or assessments.
- Axiom AI does not guarantee compliance with academic integrity requirements at your institution.
9. Data Storage and Retention
- Data Location. By default, Axiom stores service data in our selected hosting region(s) as described in our Privacy Policy. If your organization is on an on-premises or private-cloud deployment, storage occurs within that environment under your control.
- Retention. Uploaded files, chat threads, and related metadata are retained while your account or Space is active.
- Deletion. If you delete a Space or account, associated content will be queued for deletion within 90 days (except where retention is required by law, dispute resolution, or backups).
- Backups. Deleted data may persist in encrypted backups for up to 30 days after deletion before being overwritten in the ordinary course.
- Derived Data. Summaries, embeddings, and analytics derived from content may be retained in aggregated or de-identified form.
Recommended Policy for Institutions:
Instructors and admins are responsible for determining when to delete Spaces or remove data in line with their institutional data retention and privacy policies.
10. Use of Data for Service Improvement
We may analyze conversations, prompts, and related metadata (such as timestamps, interaction counts, and usage patterns) in order to:
- Improve and maintain the performance, quality, and reliability of Axiom AI.
- Understand user needs, preferences, and trends to guide product development.
- Detect abuse, troubleshoot issues, and enhance security.
Ownership: You retain ownership of your uploaded content and conversation data.
Limits: We will not use your content to train third-party AI models (e.g., OpenAI) or disclose identifiable information to outside parties, except as required by law or described in our [Privacy Policy].
Anonymization: Insights may be generated from de-identified or aggregated data so they cannot reasonably be linked back to an individual user.
11. Content Moderation and Removal
While we are not obligated to monitor all User Content, we reserve the right, at our discretion, to:
- Remove, restrict, or disable access to any content that violates these Terms, applicable law, or the rights of others.
- Suspend or terminate accounts engaged in repeated or serious violations.
Where commercially reasonable, we will provide notice of removal or suspension; however, we may act without notice if required by law or if harm is likely. We may cooperate with law enforcement or regulators where legally required.
12. Third-Party Services
We use third-party providers (e.g., OpenAI, Resend, Google Analytics). While we take steps to protect your data, we are not responsible for their services. Please review their terms separately:
13. Intellectual Property; Feedback
We and our licensors own all right, title, and interest in and to the Service, including software, interfaces, designs, and documentation (“Axiom Materials”). Except for the rights expressly granted to you, no rights are transferred.
You grant us a worldwide, royalty-free, irrevocable license to use, reproduce, and incorporate into the Service any suggestions, enhancement requests, or other feedback you provide, without obligation to you.
14. Privacy and Compliance
Users are responsible for ensuring that their use of Axiom AI complies with applicable privacy and data protection obligations in their jurisdiction (e.g., FERPA in the United States, GDPR in the European Union, PIPEDA in Canada).
- You must not upload personal information about students, staff, or others unless you have the legal right and consent to do so.
- By using Axiom AI in an educational setting, you represent that you have the necessary permissions from your institution or governing body.
15. Payments and Subscriptions
- Fees
If you subscribe to a paid plan, you agree to pay all applicable fees as described on our pricing page. - Billing
Fees are billed in advance on a subscription basis (monthly or annually, as chosen). You authorize us (or our third-party payment processor) to charge your payment method. - Refunds
Fees are non-refundable except where required by law. We may, at our discretion, offer credits or partial refunds in exceptional cases. - Failure to Pay
If payment cannot be processed, we may suspend or terminate your access to the paid features until payment is received. - Pricing Changes
We may modify fees and plan features on a prospective basis. Changes will be posted to our pricing page and, for active subscribers, notified in advance. - Taxes
Fees are exclusive of taxes. You are responsible for any applicable sales, use, VAT, GST/HST, or similar taxes, excluding taxes based on our net income.
16. Termination
We may suspend or terminate your access if you violate these Terms, misuse the Service, or for security reasons. You may close your account at any time; data will be handled per Section 9.
17. Liability & Warranty
Axiom AI is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we make no warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement.
- That the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- That AI-generated outputs will be accurate, reliable, or suitable for any purpose.
You are solely responsible for verifying the accuracy and appropriateness of any information provided by the Service before relying on it. Do not rely on Axiom AI as a substitute for professional teaching, grading, or other academic judgment.
To the fullest extent permitted by law, Axiom AI, Learnful Labs Inc., and our officers, directors, employees, and agents shall not be liable for any damages of any kind, including but not limited to:
- Direct, indirect, incidental, consequential, special, exemplary, or punitive damages.
- Loss of profits, revenue, goodwill, data, or business opportunities.
- Educational, assessment, or instructional outcomes resulting from use of the Service.
This limitation applies even if we have been advised of the possibility of such damages and regardless of the legal theory under which such damages are sought.
18. Indemnification
You agree to indemnify and hold harmless Axiom AI and Learnful Labs Inc. from claims arising from your use of the Service or violation of these Terms.
19. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email or within the Service. Continued use of the Service after changes means acceptance.
20. Governing Law
These Terms are governed by the laws of Ontario, Canada. Disputes will be resolved in Ontario courts.
21. Survival of Provisions
Upon termination of your account or these Terms, the following sections will continue to apply:
5 (User Content), 6 (Use of AI), 7 (Acceptable Use), 9 (Data Storage and Retention), 10 (Use of Data for Service Improvement), 12 (Privacy and Compliance), 14 (Liability & Warranty), 17 (Indemnification), 20 (Governing Law), and 21 (Survival of Provisions).
